related to general assemblies and board of directors meetings of the companies, to ensure their registration in the Trade Registry, to carry out the share transfer transactions of the company shareholders, to determine and implement the most appropriate and efficient legal structure for the company re-structuring, and to provide litigation and arbitration services in all matters related to Commercial Law. Our Office has a significant expertise in merger & acquisition operations due to it years of services provided to both domestic and foreign companies operating in different sectors in their merger & acquisition processes. Our main legal services in this field are; management of merger and spin-off processes, preparation of necessary contracts and documentation in this context, conducting general assembly meetings and registration procedures, management of share transfer processes and preparation of share transfer contracts and related general assembly and board of directors resolutions within this scope, conducting Due Diligence on the company to be transferred/merged before the respective operation and preparation of a detailed Due Diligence report in that respect, change of company nature, reorganizing the structure of the company, drafting the shareholder agreements to organize the relations between the shareholders.
